These Terms of Service (“Terms”) govern your engagement with Zidika Consulting (“we,” “us,” or “our”) for consulting services. Please read these Terms carefully before engaging our services. By engaging our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not engage our services.
Scope of Services
We provide consulting services in finance & accounting, marketing, and IT software. The specific scope of services for your project will be outlined in a separate Engagement Letter that details the project deliverables, timeline, and fees.
Engagement Process
- Initial Consultation: We offer a free initial consultation to discuss your needs and determine if we are a good fit for your project.
- Engagement Letter: Once we agree to move forward, a formal Engagement Letter will be signed by both parties outlining the project scope, fees, timeline, and payment terms.
- Project Execution: We will work collaboratively with you throughout the project, providing updates and seeking your feedback at key milestones.
- Project Completion: Upon completion of the project, we will deliver the agreed-upon deliverables and hold a final meeting to discuss the outcomes.
Client Responsibilities
- You are responsible for providing us with all necessary information and resources to complete the project effectively.
- You will designate a point of contact within your organisation who will be responsible for communication and decision-making throughout the project.
- You will provide timely feedback on deliverables and participate actively in the project execution process.
Confidentiality
We will maintain the confidentiality of all information you share with us during the course of our engagement. We will not disclose any confidential information to third parties without your prior written consent. You agree to treat any confidential information we share with you with the same degree of care.
Intellectual Property
We retain ownership of all intellectual property rights developed by us during the course of the engagement, unless otherwise agreed upon in writing. We grant you a non-exclusive licence to use the deliverables for your internal business purposes.
Termination
This Agreement may be terminated by either party upon written notice. The termination clause in the Engagement Letter will supersede this general provision for project-specific termination details.
Fees & Payment
Our fees are outlined in the Engagement Letter and may include an upfront retainer, hourly rates, or project-based fees. Payment terms are also specified in the Engagement Letter and may require advance payment or progress payments throughout the project.
Limitation of Liability
Our services are provided with reasonable care and skill. However, we are not liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with our services.
Indemnification
You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, and agents from and against any losses, expenses, damages, and claims (including attorneys’ fees) arising out of or in connection with your use of our services.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.
Entire Agreement
These Terms constitute the entire agreement between you and us regarding our consulting services. The Engagement Letter may contain additional terms specific to your project.
Changes to the Terms
We may revise these Terms at any time by updating this posting. You are bound by any revisions and should therefore periodically visit this page to review the current Terms.
