1. Scope of Services

Zidika Consulting provides professional consulting services in:

  • Accounting
  • Tax compliance and advisory
  • Financial management

The specific scope of services for each client will be detailed in a separate Engagement Letter, which will outline project deliverables, timelines, responsibilities, and payment terms.

2. Engagement Process
a) Initial Consultation

We offer a free initial consultation to discuss your needs and determine whether our services are a good fit.

b) Engagement Letter

Once both parties agree to proceed, we will issue a formal Engagement Letter. This document will govern the specific terms of that engagement.

c) Project Execution

We will collaborate with you throughout the engagement, providing regular updates and requesting feedback at key milestones.

d) Project Completion

Upon completion, we will deliver final outputs and may hold a wrap-up meeting to discuss results.

3. Client Responsibilities

You agree to:

  • Provide all relevant and accurate information in a timely manner
  • Assign a point of contact for project communications
  • Participate actively and provide timely feedback on deliverables

Failure to meet these responsibilities may delay project completion or affect outcomes.

4. Confidentiality

We will treat all information you provide as confidential and will not share it with third parties without your written consent, unless required by law. You also agree to maintain the confidentiality of proprietary information shared by us.

5. Intellectual Property

Unless otherwise agreed:

  • We retain all intellectual property rights to materials created during the engagement
  • You are granted a non-exclusive licence to use the final deliverables for your internal business purposes
6. Termination

Either party may terminate an engagement with written notice. The termination terms outlined in the Engagement Letter will override this general provision. In the event of termination, you will be invoiced for all work completed up to that date.

7. Fees and Payment Terms

All fees will be detailed in the Engagement Letter. Payment structures may include:

  • Upfront retainers
  • Milestone-based billing
  • Hourly or fixed project fees

Late payments may attract interest or result in paused services. All payments should be made via the methods and schedule outlined in the engagement documentation.

8. Limitation of Liability

While we perform our services with reasonable care and professionalism, Zidika Consulting shall not be held liable for any:

  • Indirect, incidental, or consequential losses
  • Business interruptions
  • Loss of profits or data
9. Indemnification

You agree to indemnify and hold harmless Zidika Consulting and its personnel from any claims, losses, or damages arising from your use of our services, including legal and professional fees.

10. Governing Law

These Terms are governed by the laws of Kenya, without reference to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction in Kenya.

11. Entire Agreement

These Terms, along with the specific Engagement Letter, form the entire agreement between the parties and supersede all prior discussions, proposals, or communications.

12. Changes to These Terms

We may revise these Terms periodically. Any updates will be posted on our website with a revised “Last Updated” date. Continued use of our services constitutes your acceptance of the modified Terms.
