These Terms of Service (“Terms”) govern your use of the accounting, tax, and finance consulting services offered by Zidika Consulting (“we,” “us,” or “our”) through our website https://zidika.com and through direct engagements. By using our services, you agree to comply with and be bound by these Terms. If you do not agree, please do not engage our services.

1. Scope of Services

Zidika Consulting offers professional consulting services in the following areas:

• Accounting
• Tax compliance and advisory
• Financial management

We will outline the specific scope of services for each client in a separate Engagement Letter. This document defines the deliverables, timelines, responsibilities, and payment terms for your engagement.

2. Engagement Process

1. a) Initial Consultation
   We offer a free consultation to understand your needs and assess whether our services align with them. This discussion also allows us to set expectations clearly from the beginning.
2. b) Engagement Letter
   Once both parties agree to move forward, we prepare a formal Engagement Letter. This agreement defines the engagement’s terms and serves as the foundation for service delivery.
3. c) Project Execution
   Our team will collaborate with you throughout the engagement. We provide regular updates and request feedback at key milestones. In addition, we remain available to address any concerns that may arise.
4. d) Project Completion
   After completing the project, we deliver the final outputs. In most cases, we also conduct a wrap-up meeting to review the outcomes and address any final questions.

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and timely information relevant to the project
• Appoint a primary contact person for communications
• Participate actively and share feedback within agreed timelines

Delays in meeting these responsibilities may, therefore, affect the delivery timeline or the quality of results.

4. Confidentiality

We treat all information you share with us as confidential. We will not disclose your data to third parties unless you provide written consent or we are legally required to do so. Likewise, you agree to keep our proprietary information confidential throughout and after the engagement.

5. Intellectual Property

Unless agreed otherwise:

• Zidika Consulting retains all intellectual property rights to materials we create during the engagement
• You receive a non-exclusive licence to use the final deliverables for internal business purposes

Therefore, you may not reuse or distribute these materials outside your organization without written permission.

6. Termination

Either party may terminate the engagement by giving written notice. However, the Engagement Letter may specify different termination terms, which will take precedence.

If the engagement ends before project completion, we will issue an invoice for the work completed up to that point.

7. Fees and Payment Terms

All fees and payment details will appear in the Engagement Letter. Depending on the project, our pricing may follow one of the following structures:

• Upfront retainers
• Milestone-based billing
• Hourly or fixed project fees

Late payments may lead to service delays or interest charges. Therefore, we encourage timely payments using the methods and timelines agreed upon in the Engagement Letter.

8. Limitation of Liability

We perform our services with reasonable care and professionalism. However, Zidika Consulting will not be liable for:

• Indirect, incidental, or consequential losses
• Business interruptions
• Loss of profits or data

This limitation applies even if we were advised of potential risks in advance.

9. Indemnification

You agree to indemnify and hold harmless Zidika Consulting and its personnel against any claims, losses, or damages arising from your use of our services. This includes any legal or professional fees incurred in defending such claims.

10. Governing Law

These Terms are governed by the laws of Kenya. In case of disputes, both parties agree to resolve them through the courts of competent jurisdiction in Kenya.

11. Entire Agreement

These Terms and the Engagement Letter form the entire agreement between both parties. As such, they override any prior discussions, emails, or informal communications.

12. Changes to These Terms

We may update these Terms from time to time. Whenever we do, we will post the revised version on our website and update the “Last Updated” date above. Continued use of our services means that you accept the revised Terms.
